As used in these Terms, “Golden Eagles,” “Company,” “we,” “us” and “our” mean Golden Eagles LLC FZC, a company incorporated and licensed in Free Zone Company - FZC LLC, United Arab Emirates, under commercial licence number 26254966888, together with any branches, subsidiaries, controlled entities or affiliates expressly identified as operating under the Golden Eagles name, where applicable.

Golden Eagles may investigate suspected violations and may cooperate with law-enforcement, regulatory or judicial authorities where appropriate or legally required.

Unauthorised use may result in legal action, including claims for injunctive relief, damages and recovery of costs where permitted by law.

Golden Eagles may assume control of the defence of any matter subject to indemnification, and you agree to provide reasonable cooperation.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOLDEN EAGLES AND ITS AFFILIATES, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES, AGENTS, CONTRACTORS, LICENSORS AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY:

INCIDENTAL LOSS;
SPECIAL LOSS;
EXEMPLARY OR PUNITIVE DAMAGES;

LOSS OF CONTRACT;
LOSS OF GOODWILL;
LOSS OF REPUTATION;
LOSS OR CORRUPTION OF DATA;
BUSINESS INTERRUPTION;
CYBERSECURITY LOSS; OR
COST OF SUBSTITUTE SERVICES,

arising from or connected with:

a. access to, use of or inability to use the Website;

b. reliance on Website content;

c. errors, omissions or delays;

d. third-party content or services;

e. malware, unauthorised access or system failure;

f. decisions made on the basis of Website information; or

g. any other matter relating to the Website,

whether arising in contract, tort, negligence, statutory duty, misrepresentation or otherwise, even if the possibility of such loss was known or foreseeable.

To the extent liability cannot lawfully be excluded, the aggregate liability of Golden Eagles arising from or relating to your use of the Website shall be limited to the greater of:

a. the amount, if any, paid by you specifically for access to the Website during the twelve months preceding the event giving rise to the claim; or

b. AED 1,000.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited under applicable mandatory law, including liability arising from fraud or wilful misconduct where such exclusion is prohibited.

27. No Guarantee of Results

Golden Eagles does not guarantee:

approval by any authority;
issuance of a licence;
opening of a bank account;
access to financing;
completion of a transaction;
investment performance;
commercial success;
market entry;
government acceptance;
contractual award;
regulatory approval;
tax outcome; or
any other business result.

Results depend on circumstances outside Golden Eagles’ control, including client conduct, third-party decisions, regulatory requirements and market conditions.

Any binding service commitment must be stated in a separate signed agreement.

28. Suspension and Termination

Golden Eagles may, at any time and without prior notice:

suspend or terminate your access;
restrict particular devices or network addresses;
remove submitted content;
disable Website functions;
take technical protective measures; or
terminate this Agreement as it relates to you,

where Golden Eagles reasonably believes that:

a. you have violated these Terms;

b. your conduct may be unlawful or harmful;

c. Website security may be at risk;

d. continued access may damage Golden Eagles’ reputation or interests; or

e. restriction is required by law, regulation or a competent authority.

Upon termination, you must immediately stop using the Website.

Sections intended by their nature to survive termination shall remain effective, including provisions relating to intellectual property, disclaimers, indemnity, liability and dispute resolution.

30. Compliance, Sanctions and Unlawful Activity

All proposed engagements may be subject to identity verification, due diligence, sanctions screening, source-of-funds checks and other compliance procedures.

The Website is controlled and administered from the United Arab Emirates.

Golden Eagles does not represent that the Website or its content is lawful, appropriate or available in every jurisdiction.

Persons accessing the Website from outside the UAE do so on their own initiative and are responsible for compliance with local law.

The Website is not directed to any person in a jurisdiction where access, distribution or use would:

violate local law;
require unauthorised registration;
cause Golden Eagles to become subject to an unintended licensing requirement; or
expose Golden Eagles to prohibited legal or regulatory obligations.

Golden Eagles may restrict access from any territory at its discretion.

32. Force Majeure

Golden Eagles shall not be liable for delay, interruption, failure or unavailability caused by events beyond its reasonable control, including:

natural disasters;
fire;
flood;
epidemic or pandemic;
war;
terrorism;
civil unrest;
labour dispute;
government action;
sanctions;
internet failure;
telecommunications failure;
power outage;
cyberattack;
hosting-provider failure;
software failure; or
failure of third-party infrastructure.

33. Injunctive and Equitable Relief

You acknowledge that a breach involving:

intellectual property;
confidentiality;
unauthorised access;
data misuse;
cybersecurity; or
prohibited copying,

may cause irreparable harm for which monetary damages may be inadequate.

Golden Eagles may seek injunctive, protective or other equitable relief from any court of competent jurisdiction, in addition to any other available remedy.

34. Governing Law

These Terms and any non-contractual obligations arising from or relating to them shall be governed by the federal laws of the United Arab Emirates and the laws applicable in the Emirate of Ajman, without giving effect to conflict-of-law principles.

Mandatory laws that cannot lawfully be excluded shall continue to apply.

35. Dispute Resolution

Before initiating formal proceedings, a party must provide written notice describing the dispute and allow the other party thirty days to attempt an amicable resolution.

If the dispute is not resolved during that period, it shall be subject to the exclusive jurisdiction of the competent courts of Ajman, United Arab Emirates, unless Golden Eagles elects in writing to submit the dispute to arbitration or the parties otherwise agree in writing.

Optional arbitration version

Should you later decide to use arbitration, replace the paragraph above with a clause naming a specific institution, seat, language and number of arbitrators.

Arbitration agreements and proceedings in the UAE are regulated by Federal Law No. 6 of 2018, which recognises agreements to submit disputes to binding arbitration.

Do not insert arbitration without first choosing the actual institution, such as DIAC, and confirming that this is commercially appropriate.

36. Time Limit for Claims

To the extent permitted by applicable law, any claim arising from or relating to the Website must be commenced within one year after the claimant became aware, or reasonably should have become aware, of the facts giving rise to the claim.

Nothing in this section shortens a mandatory limitation period that cannot lawfully be modified.

37. Severability

If any provision of these Terms is held to be illegal, invalid or unenforceable:

a. that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable;

b. if modification is not possible, it shall be severed; and

c. the remaining provisions shall continue in full force and effect.

38. No Waiver

A failure or delay by Golden Eagles to exercise any right or remedy does not constitute a waiver.

A waiver is effective only if made expressly in writing by an authorised representative.

A waiver in one instance does not constitute a waiver in any other instance.

39. Assignment

You may not assign, transfer, delegate or otherwise dispose of any right or obligation under these Terms without prior written approval from Golden Eagles.

40. Entire Agreement
